Terms & Conditions

WARM Model & Talent Agency is a subsidiary of WARM Entertainment Limited.

Clients are requested to carefully read the following terms and conditions which must be strictly adhered to at all times. We request that you read our business terms prior to calling the agency for a quotation. Please note that the following is standard practice with all our clients. We would expect standard agency rules to apply to each booking undertaken with WARM Entertainment Limited.

1. CONFIDENTIALITY

The client or any associates of the client must never make any bookings directly with WARM personnel during the campaign or at any time after the event.

The client or any associates of the client must never approach WARM’s personnel direct. The client must never request WARM personnel telephone numbers, address or email address during the campaign or at any time after the event. Or indeed supply the WARM personnel with their contact telephone number, address or email address. The client must not befriend WARM personnel on social networking sites.

Fees and prices are not to be discussed with WARM personnel.

2. FEES

For Model Bookings

Models and talents are divided into two ways in the WARM Model and Talent Agency.
1. Official
2. Non official

For The Officials
Models, actors, vocalists, and talents may apply to determine the amount of money, but WARM officially determines the amount of money directly.

For Non Official
Depending on the amount of money that the model, actors, singers and talents can honor, are applicable.

All fees are based on an eight hour daily, unless otherwise stated (excluding equity contracts) with a 1-hour lunch break (Shop Act 1950) with make-up hairstyles

Models may be booked for a full day, a half-day or hourly. Extra half hours or parts of hours shall be paid at half the hourly rate. Expenses will be added where appropriate.

For full day or half day, the rate of children is 50% adult and under all VAT.

If you feel the need to work from the designated hours of the Infective staff after the appointment / period, you must speak to our supervisor in conversation, if he does not know.
You will report to our supervisor when the last deadline ends.

ADDITIONAL EXPENSES
All expenses incurred by WARM on the clients’ behalf will be charged to the client and will include an uplift of 7.5% of the total amount of the expenses.

LOCATION BOOKINGS
When a location booking is made, a client must provide transport for the model both to the booking location and back again unless agreed otherwise. If the client fails to provide such transport then WARM shall be entitled to re-charge the cost .

When a location booking is made, the client will make a health and safety assessment of the location and shall notify WARM of any potential risks and how these have been mitigated. The client acknowledges that at all times the model’s health and safety is of paramount importance and shall ensure that the highest standards of health and safety are complied with whilst on any location bookings.

PAYMENT

All invoice amounts to be paid direct to WARM Agency and not Impact personnel. In all cases the client responsible for commissioning the work will be invoiced and solely responsible for payment, unless otherwise agreed in writing at the time of booking. Where payment for title to a models photographic image, reproduction, drawing or any adaptation thereof has, by default, not been fully discharged we reserve the right to invoice the ULTIMATE CLIENT.

All invoices to be settled with 30 days from the date of the invoice.

New clients to the agency will be required to pay the initial invoice prior to the commencement of the booking.USAGE (for model bookings only)

Unless otherwise agreed, in writing, the permitted use for photographs is for editorial, or press advertising and EXCLUDES posters, packaging, display material (i.e. show cards, point of sale, swing tickets etc.), CD, video and DVD covers and stills in commercials. An additional rate is payable for each of the above categories. The client is responsible for negotiating the additional fees for each of these categories before use can commence.

(a) It is not permitted to use the photographs for any purpose until all fees have been paid.

(b) An additional rate is payable for any other use of the photographs, or reproductions or adaptations thereof, or drawings there from, either complete or in part, alone or in conjunction with any wording or drawings, other than the permitted use.

TALENT RATES (for Model & talent on stage show)
Daily/Hourly Rates
Standard hourly rates are charged during Monday to Friday between 09:00am and 5:00pm or 10:00am and 6:00pm excluding bank and public holidays. Any booking which is over 5 hours will be charged at the day rate. Booking fees are charged by the day or by the hour, or on an alternative basis, for example, a set fee for a catwalk show.

A “full day” is 8 working hours; this includes hair and makeup prep time.

A “half-day” is 4 working hours; this includes hair and makeup prep time.

A minimum booking is considered 2 hours for stills.

VOUCHER
A voucher is a binding contract provided by WARM that states the Talent’s rate applicable to the particular booking that apply to the Talent and the booking time and must be signed by the Client.

PURPOSE OF THE VOUCHER: CONTENT USE
All photography, filming or image captured (content) is to be used for the purpose specified in the Docherty voucher submitted by the Client, which has been pre-approved by Docherty. For the purpose of the voucher, content will include any media such as, but not limited to print advertising, editorial, billboards, websites (commercial or otherwise) and television must be negotiated and authorized by Docherty prior to booking being confirmed and will form material obligations within the voucher. In general, the confirmed booking and usage fees cover the right to use the content for the purpose for one year from the date of the booking. It is agreed between the parties that rights provided herein are not granted to the Client until payment in full has been received and that until such time as all payments owed are made, the Client agrees that to the extent it can legally provide, WARM will own all rights that exist in the content created from the booking. Any image used without written authorization or prior approval from WARM will be deemed unauthorized use and will be subject to legal proceedings.
The Client agrees that they have the absolute rights to the content created at and in relation to the booking.

EXCLUSIVITY OF GOODS OR SERVICES
A special fee will be negotiated when the work is in conjunction with a product or service that precludes work for competing products or services. It is the Client’s responsibility to check, at time of booking whether the Talent has previously performed any conflicting work. If the Talent advertises a product, it is agreed they are able to work for any competitor in the future unless an exclusivity fee is negotiated and received with WARM.

HOLDING A TALENT
Holding a Talent will be automatically cancelled unless confirmation is received within 24 hours from the time the hold is requested.

MEALS
Clients are responsible for the provision of all meals and beverage requirements of the models (taking into account dietary requirements) whilst the models are providing services to the client on all bookings (see section 2.2)).

MODEL CARE AND SAFETY
The clients shall ensure that the model is treated with respect and professionalism and that the client takes all steps necessary to ensure that the safety, health and wellbeing of the model is protected and maintained at all times whilst providing services to the client. Such steps shall include without limitation:
ensuring that the venue for the provision of the services and the working conditions are safe and secure and allow the model to provide the services in compliance with all health and safety standards, regulations, codes and laws;
Allowing the model to take suitable and regular rest periods, to ensure the model is able to maintain suitable amounts of rest and refreshment whilst delivering the services;
Providing adequate levels of insurance cover to safeguard the health and safety and future earnings of the model whilst the model is delivering the services and traveling to and from the client’s venue as if he/she were an employee of the client;
Ensuring that all of the people and organizations which are engaged by the client in relation to the delivery of the services are suitably qualified, experienced and professional;
Ensuring that no one imposes upon the model any action or activity which is either dangerous, degrading, unprofessional or demeaning to the model;
Ensuring that the services are delivered and the model is treated in accordance with The Association of Model Agents’ Code of Practice; and Providing the model with an appropriate changing and dressing area to ensure that the model can prepare for the provision of the services and also maintains his/her privacy.
Always include a credit in the form of “model’s name” @ “WARM Model Agency”, wherever a credit is applied.

WEATHER PERMIT CANCELLATION FEES
The weather permit option must be stated by the Client at the time of the booking, Cancellations or postponement requires at least 24 hours notice, otherwise a 50% charge will be made. First postponement: no charge if job is rescheduled within 7 days. Second postponement: half charge
Third postponement: full charge.

COMPLAINTS
Any cause for complaint should be reported back to WARM immediately. Complaints will not be considered in retrospect. Upon signing any agreements, bookings, vouchers or contracts, the Client agrees to indemnify WARM and its employees and/or agents, against any legal claims, liability and responsibility in regards to any damages arising out of, or in connection with the Talent chosen or the relationship established by the accepted agreements, bookings, vouchers or contracts, between the Client and WARM.

PAYMENT TERMS OF INVOICE
Payment of the Talent fee and any other monies payable are required to be paid in full by the Client by the due specified on the relevant booking sheet, sent to the last known address of the Client. In all cases the Client will be invoiced and solely responsible for payment unless otherwise agreed to and confirmation in writing be given prior to the booking date. If the Client fails to pay the amounts due in accordance with these terms and conditions, they will be responsible to pay for all expenses and costs incurred in recovering any outstanding monies, including all debt collection fees. Client will charge a late fee of two percent (2%) per month on all accounts that remain payable after 30 days have passed from the due date.

বুকিং শর্তাদি এবং শর্তাদি:
ওয়ার্ম মডেল ও ট্যালেন্ট এজেন্সি, ওয়ার্ম  এন্টারটেইনমেন্ট লিমিটেড এর একটি অঙ্গ প্রতিষ্ঠান।

ক্লায়েন্টদের নিম্নলিখিত শর্তাবলী সাবধানে পড়তে অনুরোধ করা হয় যা কঠোরভাবে সব সময় কঠোরভাবে পালন করা আবশ্যক। আমরা একটি উদ্ধৃতি জন্য সংস্থায় কল করার আগে আমাদের ব্যবসা পদ পড়তে অনুরোধ করি। নিম্নলিখিত আমাদের ক্লায়েন্টদের সঙ্গে মান অনুশীলন নিম্নলিখিত নোট করুন। আমরা ওয়ার্ম  এন্টারটেইনমেন্ট লিমিটেডের সাথে প্রতিটি বুকিংয়ে প্রমিত এজেন্সি নিয়ম প্রয়োগ করার আশা করি।

1. গোপনীয়তা

ক্লায়েন্ট বা ক্লায়েন্টের যেকোন সহযোগী অবশ্যই প্রচারের সময় বা ইভেন্টের পরে কোনও সময়ে ওয়ার্ম কর্মীদের সাথে সরাসরি কোনও বুকিং করতে পারবেন না।

ক্লায়েন্ট বা ক্লায়েন্টের কোনও সহযোগীকে ওয়ার্মের কর্মীদের সরাসরি যোগাযোগ করতে হবে না। অভিযানের সময় বা ইভেন্টের পরে কোনও সময়ে ক্লায়েন্টকে ওয়ার্ম কর্মীদের টেলিফোন নম্বর, ঠিকানা বা ইমেল ঠিকানা অনুরোধ করা যাবে না। অথবা প্রকৃতপক্ষে ওয়ার্ম কর্মীদের তাদের যোগাযোগের টেলিফোন নম্বর, ঠিকানা বা ইমেল ঠিকানা সরবরাহ করুন। ক্লায়েন্ট সামাজিক নেটওয়ার্কিং সাইট প্রভাবশালী কর্মীদের বন্ধুত্ব করা উচিত নয়।

ফি এবং দাম ওয়ার্ম কর্মীদের সঙ্গে আলোচনা করা হবে না।

2. ফীস্

মডেল বুকিং জন্য
মডেল এবং প্রতিভা এজেন্সী মডেল এবং প্রতিভা দুটি পদ্ধতিতে বিভক্ত।
1. অফিসিয়াল
2. আন-অফিসিয়াল

অফিসিয়ালদের জন্য
মডেলগুলি, অভিনেতা, কণ্ঠশিল্পী এবং প্রতিভাগুলি অর্থের পরিমাণ নির্ধারণ করতে প্রযোজ্য হতে পারে, তবে ওয়ার্ম আনুষ্ঠানিকভাবে সরাসরি অর্থের পরিমাণ নির্ধারণ করে।

আন-অফিসিয়ালদের জন্য
মডেল, অভিনেতা, গায়ক এবং প্রতিভা সম্মান করতে পারেন যে পরিমাণের উপর নির্ভর করে, প্রযোজ্য।

মডেল একটি পুরো দিন, একটি অর্ধ দিন বা ঘনঘন জন্য বুক করা যেতে পারে। অতিরিক্ত অর্ধ ঘন্টা বা ঘন্টা অংশ অর্ধঘন্টার হারে প্রদান করা হবে। উপযুক্ত যেখানে ব্যয় যোগ করা হবে।

পুরো দিন বা অর্ধেক দিনের জন্য, শিশুদের হার 50% প্রাপ্তবয়স্ক এবং সমস্ত ভ্যাটের অধীনে।

অতিরিক্ত ব্যয়

অবস্থান বুকিং

পেমেন্ট

চালান তারিখ থেকে 30 দিনের মধ্যে সমস্ত চালান নিষ্পত্তি করা হবে।

এজেন্টের নতুন ক্লায়েন্টদের বুকিং শুরু হওয়ার পূর্বে প্রাথমিক চালান দিতে হবে।

(শুধুমাত্র মডেল বুকিংয়ের জন্য)

অন্যথায় সম্মত না হওয়া পর্যন্ত, লিখিতভাবে ফটোগুলির জন্য অনুমোদিত সম্পাদক সম্পাদকীয় বা প্রেস বিজ্ঞাপন এবং এক্সক্লুয়েড পোস্টার, প্যাকেজিং, প্রদর্শন সামগ্রী (যেমন শো কার্ড, বিন্দু বিক্রয়, সুইং টিকিট ইত্যাদি), সিডি, ভিডিও এবং ডিভিডি কভার এবং এখনও বিজ্ঞাপনে। একটি অতিরিক্ত হার উপরে দেওয়া প্রতিটি বিভাগের জন্য প্রদেয়। ব্যবহার শুরু করার আগে ক্লায়েন্ট এই বিভাগগুলির প্রতিটি জন্য অতিরিক্ত ফি আলোচনা করার জন্য দায়ী।

তালিকার হার (স্টেজ শো মডেল এবং প্রতিভা জন্য)
দৈনিক / ঘন্টা প্রতি হার
স্ট্যান্ডার্ড ঘণ্টা হার সোমবার থেকে শুক্রবার শনিবার সকাল 9 টা থেকে সকাল 5.00 টা বা সকাল 10.00 টা থেকে 6.00 টা পর্যন্ত ব্যাংক ও পাবলিক ছুটির দিনগুলিতে চার্জ করা হয়। যে কোনও বুকিং যা 5 ঘন্টারও বেশি সময় দিবে তার হার হবে। বুকিং ফি দিন বা ঘন্টা দ্বারা বা বিকল্প ভিত্তিতে চার্জ করা হয়, উদাহরণস্বরূপ, একটি catwalk শো জন্য একটি সেট ফি।

একটি “পূর্ণ দিন” 8 কাজ ঘন্টা হয়; এই চুল এবং মেকআপ প্রস্তুতি সময় অন্তর্ভুক্ত করা হয়।

ক্লায়েন্ট সম্মত হন যে তাদের কাছে এবং বুকিংয়ের সাথে সম্পর্কিত সামগ্রীর সম্পূর্ণ অধিকার রয়েছে।

পণ্য বা পরিষেবাদির একচেটিয়াতা
যখন কোনও পণ্য বা পরিষেবাদির সাথে সঙ্গতিপূর্ণ হয় তখন একটি বিশেষ ফি আলোচনা করা হবে যা প্রতিযোগী পণ্য বা পরিষেবাদিগুলির জন্য কাজকে বাধা দেয়। এটি যাচাইয়ের জন্য ক্লায়েন্টের দায়িত্ব, বুকিংয়ের সময় তালেন্ট আগে কোন দ্বন্দ্বমূলক কাজ করেছেন কিনা তা বুকিংয়ের সময়। যদি প্রতিভা একটি পণ্য বিজ্ঞাপিত করে, তবে এটি সম্মত হয় যে ভবিষ্যতে কোনও প্রতিযোগীতার জন্য তারা কাজ করতে পারবে না যদি না একটি বিশেষত্ব ফি নিয়ে আলোচনা করা হয় এবং WARM এর সাথে গ্রহণ করা হয়।

প্রতিভা হোল্ডিং 
হোল্ডের অনুরোধের ২4 ঘণ্টার মধ্যে নিশ্চিতকরণ না হওয়া পর্যন্ত প্রতিভা ধরে রাখা স্বয়ংক্রিয়ভাবে বাতিল হয়ে যাবে।

খাবার
মডেলগুলি সমস্ত বুকিংয়ের ক্লায়েন্টদের পরিষেবা প্রদান করে (মডেল 2.2 দেখুন), যখন মডেলগুলি সমস্ত খাবার এবং পানীয়ের প্রয়োজনীয়তাগুলির জন্য দায়বদ্ধ (অ্যাকাউন্টের প্রয়োজনীয়তাগুলি বিবেচনায়) করার জন্য দায়ী।

মডেল কেয়ার এবং নিরাপত্তা
ক্লায়েন্টদের সম্মান এবং পেশাদারিত্বের সাথে চিকিত্সা করা হয় এবং ক্লায়েন্টকে পরিষেবা প্রদানের সময় যেকোন সময় সুরক্ষা, স্বাস্থ্য এবং সুস্থতা সুরক্ষিত এবং রক্ষণাবেক্ষণ করা হয় তা নিশ্চিত করতে ক্লায়েন্ট প্রয়োজনীয় সমস্ত পদক্ষেপ গ্রহণ করে। যেমন পদক্ষেপ সীমাবদ্ধতা ছাড়া অন্তর্ভুক্ত করা হবে:
নিশ্চিত করা যে পরিষেবাগুলির বিধানের জন্য স্থান এবং কাজের পরিবেশগুলি নিরাপদ এবং সুরক্ষিত এবং মডেলকে সমস্ত স্বাস্থ্য ও সুরক্ষা মান, প্রবিধান, কোড এবং আইন মেনে চলার জন্য পরিষেবা সরবরাহ করার অনুমতি দেয়;

সেবা সরবরাহের ক্ষেত্রে ক্লায়েন্ট দ্বারা নিয়োজিত সমস্ত ব্যক্তি ও সংস্থাগুলি নিশ্চিতভাবে যোগ্য, অভিজ্ঞ এবং পেশাদার;
মডেলের কোনও কার্যকলাপ বা ক্রিয়াকলাপ যা কোনও বিপজ্জনক, অবমাননাকর, অপ্রাসঙ্গিক বা মডেলের প্রতি অসম্মানজনক নয় তা মডেলের উপর চাপিয়ে দেয় না;
পরিষেবা প্রদান করা হয় এবং নিশ্চিত করা হয় যে আদর্শ মডেল এজেন্টস অফ অভ্যাস অফ অ্যাসোসিয়েশনের সাথে মডেলটি চিকিত্সা করা হয়; এবং
মডেলটি পরিষেবার বিধানের জন্য প্রস্তুত থাকতে পারে এবং তার গোপনীয়তা বজায় রাখতে পারে তা নিশ্চিত করার জন্য উপযুক্ত পরিবর্তন এবং ড্রেসিং এলাকা সহ মডেল সরবরাহ করা।
সর্বদা “মডেলের নাম” @ “ওয়ার্ম মডেল এজেন্সী” আকারে একটি ক্রেডিট অন্তর্ভুক্ত করুন, যেখানে কোনও ক্রেডিট প্রয়োগ করা হয়।

আবহাওয়া নিষেধাজ্ঞা চার্জ:
আবহাওয়ার অনুমতি বিকল্পটি বুকিংয়ের সময় ক্লায়েন্ট দ্বারা নির্দিষ্ট করা উচিত, বাতিলকরণ বা স্থগিতাদেশ অন্তত ২4 ঘন্টা নোটিশ প্রয়োজন, অন্যথায় 50% চার্জ করা হবে। প্রথম স্থগিতাদেশ: চাকরি যদি 7 দিনের মধ্যে পুনরায় নির্ধারিত হয় তবে কোন চার্জ নেই।

দ্বিতীয় মুলতুবি: অর্ধেক চার্জ
তৃতীয় মুলতুবি: পূর্ণ চার্জ।

অভিযোগ:
অভিযোগের কোন কারণ অবিলম্বে WARM থেকে রিপোর্ট করা উচিত। অভিযোগ পশ্চাদপসরণ বিবেচনা করা হবে না। কোনো চুক্তিতে, বুকিং, ভাউচার বা চুক্তিতে স্বাক্ষর করার পরে ক্লায়েন্ট WARM এবং এর কর্মচারী এবং / অথবা এজেন্টগুলিকে কোনও আইনি দাবি, দায়বদ্ধতা এবং দায়বদ্ধতা বা নির্বাচিত প্রতিভা সম্পর্কিত কোনও ক্ষতির বিষয়ে দায়বদ্ধতার জন্য সম্মত হতে সম্মত হন বা গ্রাহক এবং ওয়ার্মের মধ্যে গৃহীত চুক্তি, বুকিং, ভাউচার বা চুক্তি দ্বারা প্রতিষ্ঠিত সম্পর্ক।

পেমেন্ট শর্তাবলী:
প্রতিলিপি ফি এবং প্রদত্ত অন্য কোনও অর্থ প্রদানের জন্য ক্লায়েন্টের দ্বারা গ্রাহকের শেষ জ্ঞাত ঠিকানাটিতে পাঠানো প্রাসঙ্গিক বুকিং শীটে নির্ধারিত কারণে অর্থ প্রদান করা প্রয়োজন। সমস্ত ক্ষেত্রেই ক্লায়েন্ট চালিত হবে এবং অন্যথায় সম্মত না হওয়া পর্যন্ত পেমেন্টের জন্য দায়বদ্ধ থাকবে বুকিং তারিখের আগে। যদি গ্রাহক এই শর্তাবলী অনুসারে প্রদেয় পরিমাণ অর্থ প্রদান করতে ব্যর্থ হন তবে সমস্ত ঋণ সংগ্রহের ফি সহ কোনও অবশিষ্ট অর্থ পুনরুদ্ধারের জন্য ব্যয় করা সমস্ত খরচ এবং খরচের জন্য তারা দায়ী থাকবেন। ক্লায়েন্ট যথাযথ তারিখ থেকে 30 দিন পর সর্বসম্মতিক্রমে সমস্ত অ্যাকাউন্টে দুই শতাংশ (2%) এর দেরী ফি ধার্য করবে।বিবৃতিগুলি পড়তে সচেতন হতে উৎসাহিত করি।
